Partner Terms of Service
Terms of service governing participation in the Architect Designs partner network and subcontractor engagements.

Applies to partners. These Partner Terms of Service (“Partner Terms”) govern your relationship with Architect Designs LTD (Company No. 15900040) (“Architect Designs”, “we”, “us”), including subcontractor engagements and partner introductions.

1. Relationship status
You are an independent business. Nothing in these Partner Terms creates a partnership (legal partnership), joint venture, agency (unless expressly agreed in writing), or employment relationship between you and Architect Designs.
You must not represent that you can bind Architect Designs, enter contracts on our behalf, or make promises/guarantees on our behalf.
2. Types of partner engagement
Partner relationships generally fall into one or more of the following categories:
- Introductions: a client requests an introduction and (with the client’s explicit consent) we share limited details so you can contact them.
- Subcontractor services: we appoint and pay you to deliver a defined scope as part of our client service (for example, technical pack deliverables and/or structural calculations).
- Supplier/consultant support: you provide professional input or services supporting our operations.
Your specific scope, fees, and delivery expectations will be confirmed in writing for each engagement.
3. Introductions and client contact rules
3.1 Client consent
Where you receive client details via Architect Designs, we will do so only where the client has provided explicit consent. You must use those details only to respond to the introduction and for no other purpose.
3.2 No referral fee unless agreed
Unless we agree otherwise in writing, introductions do not include any referral fee, commission, or payment from Architect Designs.
3.3 Professional conduct
You must communicate with introduced clients professionally, accurately, and without pressure. You must not misrepresent your relationship with Architect Designs.
4. Subcontractor engagements (appointed and paid by Architect Designs)
4.1 Scope and deliverables
Where you are engaged as a subcontractor, the scope, deliverables, timeline, and fees will be confirmed in writing (for example, by email, purchase order, or statement of work).
4.2 Quality and competence
You must perform services with reasonable skill and care, using appropriately qualified personnel, and in accordance with applicable laws, standards, and professional obligations.
4.3 Scheduling and dependencies
You must notify us promptly if delivery is likely to be delayed or if you require additional information to perform the scope.
5. Data protection and confidentiality
5.1 Confidential information
You must keep confidential all non-public information you receive from Architect Designs or about our clients, including project details, pricing, processes, and client personal data.
5.2 Client personal data shared with you
If you receive client personal data from us, you must:
- use it only for the purpose it was shared (introduction or subcontracted delivery);
- apply appropriate security and access controls;
- not sell, rent, or share it with others unless legally permitted and necessary for delivery;
- notify us promptly if you suspect a data breach involving that data; and
- delete/return it when no longer necessary (subject to legal retention duties).
5.3 Controller/processor status
Depending on the arrangement, you may act as an independent controller (for example, where the client contracts directly with you) or as a processor (for example, where you deliver subcontracted work under our instruction). If you are a controller, you must provide your own privacy information to the client and handle their data rights requests. If you are a processor, you must follow our instructions and apply appropriate safeguards.
6. Insurance and compliance
You agree to maintain appropriate insurance cover for your services (for example, professional indemnity where relevant) and to comply with all applicable laws, regulations, and professional requirements.
7. Brand, trademarks, and marketing
Your use of our name, logos, or Brand Assets must comply with our Trademarks and Brand Usage Policy. You must not use our brand in a way that suggests endorsement, employment, or authority to act on our behalf unless we have explicitly agreed in writing.
8. No guarantees on behalf of Architect Designs
You must not make guarantees on behalf of Architect Designs regarding planning outcomes, timelines, costs, or approvals, or represent that you can influence local authority decisions. Any statements about Architect Designs must be accurate and limited to what has been approved.
9. Suspension and termination
We may suspend introductions or subcontractor instructions immediately if we believe there is a risk to clients, legal compliance, data security, or brand integrity.
We may terminate the partner relationship by written notice if you:
- breach confidentiality or data protection obligations;
- misrepresent the relationship or misuse Brand Assets;
- act unlawfully or unprofessionally toward clients; or
- repeatedly fail to meet agreed delivery standards.
On termination, you must stop using Brand Assets and (where applicable) return or delete confidential information and client personal data, subject to legal retention duties.
10. Limitation of liability
Nothing in these Partner Terms limits liability where it would be unlawful to do so.
Subject to that, and to the maximum extent permitted by law:
- Architect Designs is not liable for indirect or consequential losses;
- Architect Designs is not liable for losses arising from your separate contract with a client (where you contract directly with them); and
- where permitted, Architect Designs’ total liability to you in connection with these Partner Terms is limited to the amounts paid by Architect Designs to you for the specific engagement giving rise to the claim.
11. Governing law and jurisdiction
These Partner Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes.
